BACKGROUND/PURPOSE

As discussed during the February Board of Health meeting, a Governance Standing Committee (GSC) has been established as part of the Board to strengthen board effectiveness, ensure compliance with legislative requirements, and support the Board in fulfilling its oversight responsibilities. The committee is composed of the board chair, board vice-chair, treasurer, and one additional board member. The committee held the first meeting on February 17, 2026. An overview of the minutes and action items created through the meeting is provided in the Discussion section below.

DISCUSSION

Governance Standing Committee – Terms of Reference

The Committee endorsed the GSC Terms of Reference as presented. As a standing committee of the Board, the document is now being forwarded to the Board for final approval at the March 12th Board of Health meeting.

WECHU Board of Health – Terms of Appointment 

The Committee reviewed the term limits of each of municipal and provincial board member and the Chair of the GSC will be notifying those provincially appointed members whose term limits end in 2026 to determine their interest in being reappointed.   The Committee also reviewed appointment‑related language, for any provincially or locally appointed member nearing the end of their term or leaving their position prior to completion. Administration will review the current language to ensure this scenario is accounted for and bring any necessary revisions forward to the GSC for approval. 

CEO & MOH Performance Review Process

The Committee discussed options for an objective and comprehensive assessment of the Chief Executive Officer and the Medical Officer of Health. The committee requested a performance review template which aligns with the strategic plan as well as a mechanism for anonymous feedback that would include direct reports, community partners, and the Board of Health. Administration will develop an updated template in alignment GSC feedback and the proposed timeline for completion of MOH/CEO reviews is September 2026.

BoardEffect – Platform Rollout and Training of the Board of Health

Administration provided an update on the new Board of Health engagement platform, Board Effect.  The new system will support secure access to all meeting documents, and store key governance materials such as policies and bylaws.  Meeting attendance confirmations will be processed through the new site as well as any surveys and orientation materials. Training sessions will take place prior to the May Board of Health meeting.

Board of Health Effectiveness Surveys

The Committee discussed the process around the quarterly and annual Board Effectiveness Survey and will be seeking feedback from the full Board of Health for improvements in upcoming surveys to support increased response. Administration will provide a proposal related to the timing and structure of the survey process and content at the upcoming Governance Committee.
