BACKGROUND

By law No. 1 requires the Board of Health to review its by laws at least every two years. The requirement is to complete a review; it does not require that amendments be made as part of each review cycle. A compliance-based review of By laws No. 1 (Governance), No. 2 (Finance), No. 3 (Human Resources), and No. 4 (Management of Real Property) has been completed. Based on this review, the by laws remain current, operationally effective, and appropriate, and no amendments are recommended at this time.

Where the Board is confirming the completion of a review and the continuation of existing by laws without amendment, a confirming resolution is the appropriate mechanism. In these circumstances, the notice and “readings” requirements set out in By law No. 1 do not apply, as no changes to by law text are being proposed. This approach allows the Board to satisfy its by law compliance obligations in a timely and low risk manner, while allowing adequate time for a more substantive review process.

Following this confirmation, the Governance Standing Committee will undertake a comprehensive review of the Board’s by laws, including identifying priority issues, working with management and legal counsel, and bringing forward any recommended amendments for Board consideration in accordance with applicable notice and reading requirements.

PROPOSED MOTION

THAT the Board of Health confirms that it has reviewed By-laws No. 1 (Governance), No. 2 (Finance), No. 3 (Human Resources), and No. 4 (Management of Real Property) in accordance with the Board’s by-law review requirement, and confirms that each remains in full force and effect without amendment; and

THAT the Governance Standing Committee is directed to undertake a comprehensive review of the Health Unit’s by-laws and bring forward any recommended amendments for Board consideration, including any required notice and readings under By-law No. 1.
